The course proposes to investigate some specific issues of international law of contracts such as: -The "common core" of contract law; -Acquis communautaire about contracts; -The definition and requirements of the contract; -The principle of freedom of contract; -Choice of the law applicable to "internal" contract; -Duties to inform; -Good faith and solidarity; -Hardship clause; -Penalty clause; -Unfair terms,

The course in based on a dual analysis of common law and civil law within the macro-area of the contract principles

Objectives

By the end of the course, students will be able:

  1. To understand the main principles governing contract law in an international context, particularly in contracts governed by common law;
  2. To have a practical knowledge of the main practices and terms existing in the negotiation and conclusion of a contract, including the consequences of the breach of contract;
  3. To be able to operate in a business environment, with the ability to assess the risks entailed in any business choice

• Introduction to International contract law; sources of contract law; offer and acceptance; • Legal relations; legal capacities and parties; formalities in contracts; • The party agreement; good faith and unfair contract terms; defect of contents and misrepresentation; prohibited contracts; • Performance; damages for non-performance; termination of the contract; the comparative analysis between common law and civil law
